Payment Terms

Payment terms will be specified in individual service agreements. Unless otherwise agreed:

• Payment is due within 30 days of invoice date
• All fees are non-refundable unless otherwise specified
• Late payments may incur additional charges
• We reserve the right to suspend services for non-payment

All prices are quoted in Euros and exclude applicable taxes unless otherwise stated.

Confidentiality

We understand that you may share confidential information with us during the course of our engagement. We commit to:

• Maintain strict confidentiality of your proprietary information
• Use confidential information only for providing our services
• Not disclose your information to third parties without consent

Limitation of Liability

To the maximum extent permitted by law, GoldenApex Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

We provide our services and recommendations based on available information and industry best practices, but we cannot guarantee specific outcomes or results from implementing our recommendations.

Disclaimers

Our services are provided "as is" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to:

Governing Law

Termination

Either party may terminate a service engagement with written notice as specified in the individual service agreement. Upon termination:

• You remain liable for all fees incurred up to the termination date
• We will deliver any completed work products
• Confidentiality obligations continue indefinitely
• Both parties will return or destroy confidential information as requested

We reserve the right to terminate services immediately if you breach these terms or engage in unlawful conduct.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. Updated terms will be posted on our website with a new effective date. Your continued use of our services after any changes constitutes acceptance of the modified terms.
